Irish By Descent Online Guide Terms of Use

1. Applicability
These Terms of Use (these “Terms”) govern your purchase of, enrollment in, access to, and use of the online course content and downloadable materials made available by Irish By Descent, LLC (“Irish By Descent”) through a third-party online course platform used by Irish By Descent (currently Thinkific) (collectively, the “Content”).
For clarity, “Content” does not include any free or gated PDFs, checklists, downloadable resources, articles, or other resources made available on IrishByDescent.com outside the course platform, which are not governed by these Terms.
Additionally, these Terms apply to any free preview lesson, sample lesson, or other free Content made available through Irish By Descent’s third-party course platform (currently Thinkific), whether or not you purchase paid access to the Content.
By purchasing access to the Content, being enrolled or granted access to the Content, registering an account on the course platform, or otherwise accessing or using the Content, you agree to be bound by these Terms. These Terms comprise the entire agreement between the parties and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral.
2. Account Registration
To access the Content offered under these Terms, you must create an account by providing complete and accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all actions you take within your account. If you suspect or know that a third party has obtained unauthorized access to your account, you agree to promptly notify Irish By Descent of such unauthorized use in writing.
3. Course Access; Content License; Your Obligations
Upon your purchase of access to the Content, or upon being enrolled or otherwise granted access to the Content, Irish By Descent grants you a limited, non-transferable, non-exclusive, revocable, fully paid-up license to access and use the Content for your personal, non-commercial use only. Irish By Descent may, in its discretion, provide limited support services related to account access and management at your request and in accordance with these Terms. The Content is intended for general educational use only, and Irish By Descent does not offer personal instruction or custom assistance related to your specific circumstances or your application for Irish citizenship through the Foreign Births Register.
You shall not:
3.1 Share your login or account credentials with others;
3.2 Modify, alter, or otherwise remove the Content from the form in which the Content is provided to you, provided, however, that you will not be deemed to have violated this Section 3.2 by completing any fillable forms or fields, using downloadable templates, or responding to prompts as may be provided to you in the ordinary course of accessing the Content;
3.3 Reproduce, distribute, or otherwise publicly display the Content; or
3.4 Use the Content for any commercial purpose or any other reason which would compete with Irish By Descent.
4. Support Requests
Irish By Descent may, in its discretion, provide limited support related to account access and account management. If you request such support, you agree to provide information reasonably requested to help us verify your account and troubleshoot the issue. If you do not provide such information, Irish By Descent may be unable to assist you, and Irish By Descent will not be responsible for any resulting delay or inability to restore access.
5. Thinkific
The Content is made available through a third-party platform that is not operated or controlled by us. Please note that this platform, Thinkific, is governed by its own terms of service. Further, you understand that Irish By Descent does not have control over the platform provided by Thinkific, and you agree that Irish By Descent shall not be in breach of any term hereunder in the event any crash, outage, downtime, or other issue, each arising from the Thinkific platform and beyond Irish By Descent’s reasonable control, disrupts or prevents your access to the Content.
6. Fees and Expenses; Payment Terms; No Refunds
If you purchase access to the Content, the following payment and refund terms apply.
6.1 In consideration of the provision of the Content by Irish By Descent and the rights granted to you under these Terms, you shall pay the amount listed in your online checkout cart at the time you purchase access to the Content through the online checkout process.
6.2 The Content is non-returnable; once payment is submitted and your account is registered, your purchase is complete. Except as required by law, Irish By Descent does not offer refunds for any portion of your payment. By purchasing access to the Content, you acknowledge and agree to this no-refund policy. However, Irish By Descent may, in its sole discretion, issue a goodwill refund or credit, which does not waive these Terms, does not create any right to future refunds, and may be conditioned on disabling your access to the Content and your deletion of any downloaded material.
7. Intellectual Property
All intellectual property rights, including copyrights, patents, patent disclosures and inventions (whether patentable or not), trademarks, service marks, trade secrets, know-how and other confidential information, trade dress, trade names, logos, corporate names, and domain names, together with all of the goodwill associated therewith, derivative works and all other rights (collectively, “Intellectual Property Rights”) in and to all documents, course materials, and other materials that are delivered to you under these Terms or prepared by or on behalf of Irish By Descent in the course of providing the Content, including the Content (collectively, the “Deliverables”) shall be owned by Irish By Descent. Irish By Descent hereby grants you a license to use all Intellectual Property Rights free of additional charge and on a non-exclusive, worldwide, non-transferable, non-sublicensable, fully paid-up, royalty-free basis solely to the extent necessary to enable you to make reasonable use of the Deliverables.
8. Representation and Warranty
8.1 Irish By Descent represents and warrants to you that it is the owner of the Content and any and all intellectual property rights arising therefrom, or is otherwise authorized to provide the Content to you. If you violate any prohibition or restriction set forth in Section 3 of these Terms, you shall be deemed to have voided this warranty, and Irish By Descent shall have no further obligations to you under this Section 8.
8.2 If any part of the Content is found to infringe or otherwise violate the intellectual property rights of any third party, Irish By Descent shall, in its sole discretion, modify or replace the Content with Content that is non-infringing at Irish By Descent’s cost and expense. If Irish By Descent modifies the Content to be non-infringing, you shall reasonably comply with Irish By Descent to cease using the infringing Content and delete or destroy any copies of it in your possession or control (including any downloaded materials) upon the provision of written notice to you that such Content is infringing.
8.3 THE REMEDIES SET FORTH IN SECTION 8.2 SHALL BE YOUR SOLE AND EXCLUSIVE REMEDY AND IRISH BY DESCENT’S ENTIRE LIABILITY FOR ANY BREACH OF THE LIMITED WARRANTY SET FORTH IN SECTION 8.1.
9. Disclaimer of Warranties
EXCEPT FOR THE WARRANTY SET FORTH IN SECTION 8.1 ABOVE, IRISH BY DESCENT MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE CONTENT, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; OR (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) WARRANTY OF TITLE; OR (D) ANY WARRANTY THAT YOU WILL QUALIFY FOR, BE APPROVED FOR, OR OBTAIN IRISH CITIZENSHIP; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.
10. Limitation of Liability
10.1 IN NO EVENT SHALL IRISH BY DESCENT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT OR LOSS OF DATA OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT IRISH BY DESCENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.
10.2 IN NO EVENT SHALL IRISH BY DESCENT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE AGGREGATE AMOUNTS PAID OR PAYABLE TO IRISH BY DESCENT BY YOU FOR ACCESS TO THE CONTENT (IF ANY).
11. Termination
In addition to any remedies that may be provided under these Terms, Irish By Descent may terminate these Terms with immediate effect upon written notice to you, including revoking your right to access and use the Content, if you fail to comply with your obligations under Section 3 of these Terms.
12. Privacy
Any personally identifiable information you provide in connection with your use of the Website, registration, or access to the Content is governed by Irish By Descent’s Privacy Policy, available at irishbydescent.com/privacy-policy.
13. Waiver
No waiver by Irish By Descent of any of the provisions of these Terms is effective unless explicitly set forth in writing and signed by Irish By Descent. No failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from these Terms operates or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
14. Indemnity
You agree to indemnify, defend, and hold harmless Irish By Descent and its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any data, content, or information you provide to Irish By Descent that infringes, misappropriates, or otherwise violates any applicable law or the rights of a third party; or (b) any access to or use of your account or the Content by a third party that is permitted by you or results from your negligence or willful misconduct (including your violation of any provision set forth in Section 3 of these Terms).
15. Force Majeure
No party shall be liable or responsible to the other party, or be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms (except for any obligations of you to make payments to Irish By Descent hereunder), when and to the extent such failure or delay is caused by or results from acts beyond the impacted party’s (“Impacted Party”) reasonable control, including, without limitation, the following force majeure events (“Force Majeure Events”): (a) acts of God; (b) flood, fire, earthquake, other potential disasters or catastrophes, such as epidemics, or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or action; (e) embargoes or blockades in effect on or after the date of these Terms; and (f) national or regional emergency; (g) strikes, labor stoppages, or slowdowns or other industrial disturbances; (h) telecommunication breakdowns, power outages or shortages, lack of warehouse or storage space, inadequate transportation services, or inability or delay in obtaining supplies of adequate or suitable materials; and (i) other similar events beyond the reasonable control of the Impacted Party.
16. Assignment
You shall not assign any of your rights or delegate any of your obligations under these Terms without the prior written consent of Irish By Descent. Any purported assignment or delegation in violation of this Section is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.
17. Relationship of the Parties
Nothing contained in these Terms shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
18. No Third-Party Beneficiaries
These Terms are for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.
19. Governing Law
All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Virginia or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the Commonwealth of Virginia.
20. Submission to Jurisdiction
Any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted in the federal courts of the United States of America or the courts of the Commonwealth of Virginia in each case located in the City of Richmond and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
21. Notices
All notices, requests, consents, claims, demands, waivers, and other communications hereunder (each, a “Notice”) shall be in writing and addressed to the parties at the contact information listed on the “Contact Us” page on the Irish By Descent website (IrishByDescent.com) if to Irish By Descent, or, if to you, the contact information listed in your account. Except as otherwise provided in these Terms, a Notice is effective only (a) upon receipt of the receiving party, and (b) if the party giving the Notice has complied with the requirements of this Section.
22. Severability
If any provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.
23. Survival
Provisions of these Terms, which by their nature should apply beyond their terms, will remain in force after any termination or expiration of these Terms including, but not limited to, the following provisions: Governing Law, Submission to Jurisdiction, and Survival.
24. Amendment and Modification
These Terms may not be modified by you for any reason. Irish By Descent may amend or modify these Terms from time-to-time upon provision of notice to you that these Terms have been amended or modified.
25. DISCLAIMER
The guidance provided throughout the Content is for educational purposes only and is based on our knowledge of Ireland’s Foreign Birth Registration application process, which is often colloquially referred to as “Irish citizenship-by-descent.” While we strive to stay up to date with any changes in government policies and procedures, applicants should always refer to the official instructions provided by Ireland’s Department of Foreign Affairs.

If a person’s application is approved, they are entered onto the Foreign Births Register and become an Irish citizen. They are then entitled to apply for an Irish passport. Access to vital records and other supporting documents is governed by the rules of the issuing authority (which may be a U.S. state or local office, or a non-U.S. government agency). Those rules may require additional documentation or additional steps in certain situations. You are responsible for confirming current requirements with the issuing authority.
By enrolling in, being granted access to, or using the Content (including any free preview lesson or other free Content made available through the course platform), you acknowledge and accept that the Content provided is for educational purposes only. The official Irish government guidance takes precedence in all matters related to your application. All Content is intended to provide general educational information only based on publicly available information, documents, and processes, and it does not constitute legal, immigration, or other professional advice. Our online course is primarily designed for adults in the United States with at least one grandparent born on the island of Ireland who are applying or considering applying for Irish citizenship through Foreign Birth Registration. When we refer to your grandparent in our course, we mean your parent’s parent, not a great-grandparent.
Eligibility for Irish citizenship through Foreign Birth Registration is determined solely by Ireland’s Department of Foreign Affairs. Our guidance is educational only and is based on publicly available information and our practical experience. It is not official and does not guarantee an outcome.
